Online Solutions And Innovation, Inc. would like to inform the public that as of December 31st, 2007, we have exited our business relationship with ABP Group L.L.C. of Fort Wayne, IN.

OSAI performed Operations, Software Development, and Administrative services for ABP Group L.L.C.'s hosting business under an agreement established at a prior date, and up through December 31st, 2007, was not compensated for it services.

In return for services rendered, OSAI is receiving all centralized Server and Networking hardware, return of the licenses of software developed for ABP Group L.L.C., all purchased software licenses, the colocation agreement with the Network Operation Center in Fort Wayne Indiana, and ABP Group L.L.C.'s established customers as of January 1st, 2008. OSAI will continue to server these customers in good faith, using it's own bank accounts and agrees to open it's own merchant account for credit card processing. ABP Group L.L.C. agrees to allow OSAI to process credit card payments through ABP Group's merchant account until such a time that OSAI can establish it's own merchant account, no later than March 31st, 2008, at which time ABP Group will close down said accounts. OSAI retains all rights to all software technologies developed for ABP Group L.L.C. of Fort Wayne, Indiana. OSAI has agreed to write off the remaining balance due in return for the aforementioned items.

ABP Group L.L.C. retains all credit accounts, bank accounts, financial services accounts, and merchant accounts opened prior to December 31st, 2007, along with all computer hardware and software located at it's Clarion Drive location in Fort Wayne, Indiana. ABP Group L.L.C. remains in the sole hands of it's founders, and as of December 31st, 2007, all ABP Group L.L.C. personnel are removed from the OSAI board of directors and surrender all shares of OSAI stock to OSAI's corporate office.
